Terms of Service

By using HUT Real Estate Intelligence ("HUT"), you agree to these terms. Please read them carefully.

1. Service Description

HUT provides real estate market intelligence, property analysis, CRM tools, and workflow automation for licensed real estate professionals in the Houston, TX metro area. Features vary by subscription tier (Agent Edge, Investor Radar, Broker Enterprise).

2. Account Eligibility and Security

You must be at least 18 years old and authorized to use HUT for professional purposes. You are responsible for account confidentiality, credential security, and activity under your account.

3. Subscriptions & Billing

  • Subscriptions are billed monthly through Stripe.
  • You may cancel at any time; access continues through the end of your billing period.
  • Tier changes take effect at the start of your next billing cycle.
  • Refunds are handled on a case-by-case basis.

4. Acceptable Use

You agree not to:

  • Use HUT data for purposes that violate MLS rules or fair housing laws
  • Share your account credentials with unauthorized users
  • Scrape, reverse-engineer, or redistribute HUT data
  • Use the platform to harass, spam, or defraud others
  • Attempt unauthorized access to systems, APIs, or data
  • Use data from sources where your rights are restricted by law or contract

5. Data Accuracy

HUT aggregates data from public records, MLS feeds, and third-party sources. While we strive for accuracy, we do not guarantee that all information is complete or error-free. Always verify critical data independently before making business decisions.

6. Intellectual Property and Data Licensing

All HUT software, branding, models, and platform content are owned by HUT or its licensors. Your subscription grants a limited, revocable, non-exclusive, non-transferable license to use HUT for internal professional use under your plan and applicable data-license restrictions.

You may not copy, modify, distribute, sell, or create derivative works based on HUT's software, proprietary algorithms, scoring models, user interfaces, or documentation without prior written consent. All trademarks, service marks, and logos displayed on the platform are the property of HUT or their respective owners.

7. Source-Use Restrictions

HUT aggregates data from government public records, licensed feeds, and proprietary analysis. You agree to the following source-use restrictions:

  • You may not redistribute, resell, or sublicence raw data obtained through HUT.
  • You may not use HUT data to populate competing databases or services.
  • Data labelled as originating from licensed sources (e.g., MLS/RESO feeds) is subject to the licence terms of the originating source, and you must comply with those terms.
  • You may not scrape, crawl, or use automated tools to extract data from HUT's interface or APIs beyond your authorised plan limits.
  • Government public-record data displayed through HUT is presented for informational purposes; verify independently before relying on it for legal or financial decisions.

8. Third-Party and Source Compliance

You are responsible for your downstream use of data and outputs. You may not use HUT in a manner that violates MLS/RESO rules, source-license terms, or public-record usage restrictions applicable to your jurisdiction or agreement.

9. Disclaimer and Limitation of Liability

HUT is provided "as is" and "as available." To the maximum extent permitted by law, HUT disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. HUT is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/opportunities, arising from use of the service.

Aggregate liability cap: In no event shall HUT's total aggregate liability to you for all claims arising out of or relating to these terms or the service exceed the greater of (a) the amounts you paid to HUT in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100). This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if HUT has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless HUT, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the platform or data obtained through HUT
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Content you submit, post, or transmit through the service

HUT reserves the right, at your expense, to assume exclusive defence and control of any matter for which you are required to indemnify us.

11. Suspension and Termination

We may suspend or terminate access for non-payment, legal/compliance risk, security threats, or violation of these terms. You may request account closure by contacting support@huthut.app.

12. Governing Law

These Terms of Service and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law provisions.

13. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the service that cannot be resolved through good-faith negotiation within thirty (30) days shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Location: Arbitration shall take place in Harris County, Texas, or remotely at the arbitrator's discretion.
  • Individual basis: All claims must be brought in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding.
  • Small claims exception: Either party may bring qualifying claims in small-claims court in Harris County, Texas.
  • Injunctive relief: Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

14. IP Notices & Takedown

For copyright or intellectual-property infringement notices, contact support@huthut.app with the following details:

  • Identification of the copyrighted work or IP claimed to be infringed
  • Identification of the allegedly infringing material and its location on HUT
  • Your contact information and a statement of good-faith belief
  • A statement under penalty of perjury that the information is accurate and you are authorised to act on behalf of the rights holder

Repeat infringers may have their accounts suspended or terminated.

15. Changes to Terms

We may update these terms periodically. Continued use after an effective-date update constitutes acceptance of revised terms. We will endeavour to notify users of material changes via email or in-app notice at least 14 days before the change takes effect.
